Channel Partner & Connector Agreement
v1.2 Commercial
Partner & Connector Terms of Service
Terms and conditions governing education consultancies, study abroad advisors, and freelance connectors referring prospective borrowers to the StudyPower facilitation platform.
Effective: October 2026Applies to: All Registered Connectors & Consultancies
1. Appointment & Non-Exclusive Scope

By registering as a Channel Partner, Consultancy, or Independent Connector on the StudyPower platform, you ('Partner') agree to these Channel Partner Terms. StudyPower appoints the Partner on a non-exclusive basis solely to identify and refer prospective students seeking domestic and international education financing. The Partner acts strictly as an independent referrer and has NO authority to bind StudyPower or its partner financial institutions, issue sanction letters, commit interest rates, or execute loan contracts on behalf of any party.

2. Partner Conduct & Strict Code of Ethics

Partners must adhere to the highest standards of professional integrity. The following practices are strictly mandated:

Zero Tolerance for Cash Collection: Partners shall NEVER demand, collect, or accept cash or upfront consultation fees from students or co-applicants for loan processing.
No False Commitments: Partners shall not misrepresent loan approval probabilities, claim guaranteed sanctions, or advertise unauthorized '100% approval' schemes.
Document Integrity: Partners must ensure that all academic and financial records submitted are genuine copies received from the student. Falsification, alteration, or forging of any document results in immediate termination and criminal reporting.
Professional Representation: Partners must not present themselves as employees, credit underwriters, or authorized representatives of StudyPower or any lending partner.
3. Lead Submission & Attribution Rules

All referred leads must be submitted through the designated StudyPower Partner Portal or unique tracking links. • Duplicate Lead Policy: If a lead submitted by a Partner already exists in the StudyPower database and has had active CRM interaction within the preceding 60 days, attribution remains with the existing source. • Dormant Re-activation: If an existing lead has been dormant for more than 90 days with no active bank processing, the newly referring Partner may be attributed upon verification.

4. Student Privacy & Confidentiality

Partners have access to sensitive personal and financial data of students and co-applicants. In accordance with applicable Indian data protection standards, Partners agree:

To use student data strictly for processing the loan inquiry through StudyPower.
Not to retain, copy, sell, or disclose student KYC, PAN, Aadhaar, or financial statements to any third party.
To report any suspected data compromise or unauthorized access within 12 hours of discovery.
To immediately purge local copies of applicant records once the application is uploaded to the portal.
5. Referral Fees, TDS, & Clawback Policy

Referral compensation is earned upon successful loan disbursement by a partner bank or NBFC, subject to commercial schedules mutually agreed in writing:

Disbursement Trigger: Referral fees accrue only on the actual amount disbursed into the university or student account, as confirmed by the lending institution.
TDS Compliance: All payments are made via bank transfer (NEFT/RTGS/IMPS) and are strictly subject to Tax Deducted at Source (TDS) under Section 194H of the Income Tax Act, 1961. Valid PAN and GSTIN (where applicable) are mandatory.
90-Day Clawback Clause: In the event a disbursed loan is cancelled, fraudulent documents are subsequently uncovered, or the loan is recalled by the bank within 90 days of initial disbursement, StudyPower reserves the right to claw back the referral commission or adjust it against future payouts.
6. Suspension, Termination, & Consequences

Either party may terminate this partnership by providing 30 days written notice. StudyPower reserves the right to immediately suspend portal access and terminate the agreement without prior notice in case of: • Any attempt to demand cash or unauthorized payments from students; • Submission of forged, manufactured, or fraudulent documents; • Breach of student confidentiality or privacy obligations; • Public disparagement or actions causing reputational harm to StudyPower or partner banks. Upon termination, all unpaid commissions tied to fraudulent or contested files are permanently forfeited.

7. Governing Law & Dispute Resolution

These Partner Terms are governed by the laws of India. Any controversy or dispute arising between StudyPower and the Partner shall first be resolved through good-faith negotiation. If unresolved within 30 days, the matter shall be subject to the exclusive jurisdiction of the competent courts in Visakhapatnam, Andhra Pradesh.
